According to the Charter, membership of the Board of Trustees is discussed and decided through the following procedures:

(I) Ex Officio Trustees: They shall be automatically qualified for serving on the Board of Trustees;

(II) Elected Trustees: Since the establishment of the Board of Trustees, among the elected Trustees, the nomin-ated student representative and the Governance Committee and the Sponsor nominees shall be confirmed by a vote of the previous Board of Trustees according to the election procedure; if the nominees fail the vote by the Board of Trustees, the relevant nominating units may make new nominations based on their respective qu-ota and the make-up of the next Board of Trustees shall be approved and confirmed by the Board of Trustees before the term ends.

(III) The Westlake University Organizing Committee is an organization set up by commission of the Sponsor and engaged in relevant preparatory work in the founding stage of the University. The first Elected Trustees shall be recommended by the Fundraising Committee of Westlake University, and reviewed and confirmed by the Sponsor.

Chair and Vice Chair of the Founding Board of Trustees shall be recommended by the Organizing Committee of Westlake University, and reviewed and confirmed by the Sponsor. Since the establishment of the Board of Trustees, the Chair and the Vice Chair may be recommended by the Sponsor, the Governance Committee of the Board or more than one-third of the Trustees and elected by securing more than two-thirds of the vote of Trustees. The University President shall not serve as Chair of the Board at the same time.

The Chair, Vice Chair and Trustees shall be elected for a term of four years. The members of the Board of Trustees may be re-elected and serve consecutive terms.
